Himanshu Verma is a registered Mutual Fund Distributor under the Association of Mutual Funds in India (AMFI). ARN-169614 authorises distribution of mutual fund products across all Asset Management Companies (AMCs) registered with SEBI in India. This registration is subject to AMFI Code of Conduct and SEBI Mutual Fund Regulations.

• NISM Series V-A Certified (mandatory for MFD) — Valid till June 2027
• Trail commission and/or upfront commission received from AMCs as per scheme TER — not charged to investors
• Commission disclosure available on written request as per AMFI norms

2. NOT a SEBI Registered Investment Adviser

Himanshu Verma is not registered as an Investment Adviser under SEBI (Investment Advisers) Regulations, 2013. Consequently:

• No personalised investment advice is provided for a fee
• No client portfolios are managed in an advisory capacity
• No advisory fees are charged to clients
• Any general educational content shared is not to be construed as personalised investment advice

3. NOT a SEBI Registered Research Analyst

Himanshu Verma is not registered as a Research Analyst under SEBI (Research Analysts) Regulations, 2014. Consequently:

• No research reports are issued from this platform
• No buy/sell/hold recommendations on specific securities are issued
• No price targets or research-based advice on specific stocks/funds is provided
• NISM Series VIII certification is used solely for educational content related to derivatives awareness

4. Commission Disclosure (AMFI Norms)

As an AMFI-registered Mutual Fund Distributor, Himanshu Verma may receive trail commission and/or upfront commission from AMCs on mutual fund investments facilitated through him. This commission is:

• Paid by the AMC — not charged directly to the investor
• Disclosed in the scheme's Total Expense Ratio (TER) as per SEBI/AMFI norms
• Available for full disclosure on written request from any investor

Investors are strongly encouraged to review the TER of each scheme before investing. Scheme-level TER is available on respective AMC websites and AMFI's website at amfiindia.com.

5. Prohibited Language — SEBI/AMFI Compliance

8. DPIIT / Startup India Recognition

HimanshuGyan LLP is a DPIIT-recognised startup under the Government of India's Startup India program. This recognition applies to the skill development and financial education business operated under HimanshuGyan LLP (himanshugyan.com) and does not alter the regulatory obligations under SEBI/AMFI for mutual fund distribution activities.

3. Mutual Fund Distribution Services

• Acknowledge that the report is not investment advice or a securities recommendation
• Agree that Himanshu Verma bears no liability for investment decisions made based on the report
• Confirm that the data provided is accurate to the best of your knowledge

Reports are delivered within 24–48 hours via WhatsApp and email. The service is provided free of charge with no obligation to invest.

5. HimanshuGyan LLP — Courses & Sessions

Educational courses, sessions, and guest lectures offered through HimanshuGyan LLP are subject to these terms. Course content is for educational purposes only. Certificates issued are by HimanshuGyan LLP and are not government-issued or SEBI/AMFI-regulated certifications unless explicitly stated.

6. Institutional Collaboration

Collaborations with colleges, schools, corporates, defence organisations, and government institutions are governed by separate written agreements or MoUs. In the absence of a specific agreement, these Terms and Conditions apply. Completion reports and student certificates are provided as per agreed scope.

7. Real Estate Content

Real estate awareness content is provided for informational purposes only. Any actual real estate transaction must be conducted through RERA-registered agents with independent legal and financial due diligence. We make no representations about property values, appreciation, or returns. Referral fees from developers do not create any liability or fiduciary obligation to the user.

8. Angel One Partnership

References to Angel One on this website are in the capacity of an Authorised Partner. Opening a demat account or trading through Angel One is subject to Angel One's own Terms of Service, which users must review independently. Himanshu Verma does not provide trading advice through this partnership.

9. Intellectual Property

We take reasonable technical and organisational measures to protect your personal data, including secure storage of KYC data and encrypted transmission where applicable. However, no internet transmission is 100% secure. We cannot guarantee absolute security for data transmitted over the internet.

9. Your Rights (DPDP Act 2023)

Under the Digital Personal Data Protection Act, 2023, you have the right to:

1. HimanshuGyan LLP — Digital Courses & Resources

• Once a digital course, resource, or downloadable material is accessed or downloaded, a refund is not applicable.
• If you have not accessed the content, you may request a refund within 48 hours of purchase by emailing contact@theniftyman.com with your transaction ID and purchase details.
• Partial refunds for partially used course content are not available.
• In case of technical issues preventing access, a full refund or access extension will be offered at our discretion.

2. Live Sessions, Webinars & Guest Lectures (Individual)

• Full refund available if cancellation is made at least 24 hours before the scheduled session start time.
• Cancellations within 24 hours of session start are not eligible for a refund but may be rescheduled once at no additional charge, subject to availability.
• No-shows (failure to attend without prior cancellation) are not eligible for refunds or rescheduling.

3. Institutional / Corporate Sessions (Colleges, Corporates, Defence)

For sessions booked under MoU, formal agreement, or institutional purchase orders, cancellation and refund terms are governed by the specific signed agreement between HimanshuGyan LLP and the institution. In the absence of a specific agreement, the following applies:

• Cancellation more than 7 days before session: Full refund
• Cancellation 3–7 days before session: 50% refund
• Cancellation less than 3 days before session: No refund

4. Free Portfolio Review

The Free Portfolio Health Check is provided at no charge. No payment is taken, and therefore no refund policy applies. If you are unsatisfied with the report, please contact us at contact@theniftyman.com and we will address your concern.

5. Mutual Fund Transactions (AMFI ARN-169614)

Mutual fund subscriptions and redemptions are governed entirely by the respective AMC's terms, SEBI regulations, and AMFI guidelines — not by this refund policy. Key points:

• SIP cancellations must be submitted to the AMC directly or through the distributor before the next deduction date
• Redemption proceeds are credited as per the AMC's T+1/T+3 settlement norms
• Exit loads (if applicable) are as specified in each scheme's Scheme Information Document (SID)
• We do not charge any direct distribution fee to investors — commission is received from AMCs only

6. Real Estate Referrals

We only provide awareness and referrals for real estate projects. Any booking amount, cancellation fee, or refund is governed entirely by the respective developer's terms, agreement, and applicable RERA regulations. We hold no liability for real estate transaction terms or disputes between buyer and developer.

7. Business Partners Program

If any registration or enrolment fee is charged for the Business Partners Program, refund terms will be clearly communicated at the time of registration. Generally:

• Refund available within 48 hours of enrolment if program materials have not been accessed
• No refund after program materials have been accessed or training has commenced

8. How to Request a Refund

Email contact@theniftyman.com with the following:

• Full name and registered contact details
• Transaction ID / Order ID / Payment receipt
• Date of purchase and service purchased
• Reason for refund request

Refund requests are processed within 7 working days of approval. Approved refunds are credited to the original payment method within 5–10 working days thereafter, depending on your bank/payment provider.

9. Payment Gateway

Payments are processed through third-party payment gateways (e.g., Razorpay, PhonePe, UPI). We are not responsible for delays caused by payment gateway processing times. In case of payment gateway failure, contact us at contact@theniftyman.com.
